By virtue of decision no. 5186/2024 of the Minister of Development, new standard articles of association for all types of companies carrying out business activities were introduced, with a view to simplifying the incorporation process and standardising the relevant articles of association across the board. In particular, the MD determines the content and form of the “standard” (minimum content) articles of association (including optionality for additional, free content) for various types of partnerships and all types of capital companies (AE, EPE, IKE), in total seventeen (17) types of companies and associations.
The standard articles of association shall apply from (i) 01.03.2024 for Sociétés Anonymes, Limited Liability Companies, Private Companies, Limited Partnerships and General Partnerships, (ii) 01.05.2024 for Civil Law Partnerships, Joint Ventures and Limited Liability Companies by Shares, (iii) 01.07.2024 for Civil Cooperatives, Renewable Energy Communities and Citizen Energy Communities, (iv) 01.10.2024 for Social Cooperatives of Limited Liability, Social Cooperative Enterprises and Employee Cooperatives and (v) 01.12.2024 for European Companies, European Cooperative Societies and European Economic Interest Groupings.
